2.3 If any provision of these General Terms and Conditions is found to be invalid, void or unenforceable, the remaining provisions shall remain in full force and effect.
2.4 The parties shall replace any invalid or unenforceable provision with a legally valid provision that most closely reflects the purpose and intent of the original provision.
2.5 These General Terms and Conditions also apply to supplementary assignments, follow-up assignments and amendments to existing agreements.
3.1 The agreement between Relocation Partner and the Client is concluded as soon as:
a. the Client has accepted an assignment form, registration form or agreement in writing or by electronic means;
or
b. Relocation Partner has confirmed the assignment in writing or by electronic means;
or
c. Relocation Partner has commenced the execution of the Mediation Assignment at the Client’s express request.

3.3 Relocation Partner reserves the right to refuse any assignment without stating reasons.
4.1 Relocation Partner shall perform the Mediation Assignment with due care, professional skill and diligence.

4.3 Relocation Partner shall determine independently how the Mediation Assignment is performed.
4.4 Relocation Partner may engage third parties whenever it considers this necessary or desirable for the proper execution of the Mediation Assignment.
4.5 Relocation Partner is not a party to the Tenancy Agreement concluded between the Landlord and the Client.

5.2 The Client warrants that all information, documents and statements provided are complete, accurate, current and authentic.
5.3 The Client shall immediately inform Relocation Partner of any change that may affect the execution of the Mediation Assignment, including changes relating to income, employer, residence status, family composition, contact details or any other relevant circumstances.
5.4 If Relocation Partner determines or reasonably suspects that the Client has provided incorrect, incomplete, forged, misleading or fraudulent information or documentation, Relocation Partner shall be entitled to suspend its services immediately or terminate the agreement with immediate effect, without prejudice to any other legal or contractual rights.
5.5 The Client shall indemnify Relocation Partner against any third-party claims and all damages arising from incorrect, incomplete, forged or misleading information or documentation provided by the Client.
5.6 During the execution of the Mediation Assignment, the Client shall act in accordance with the principles of reasonableness and fairness and shall refrain from any conduct that could damage the interests, reputation or good name of Relocation Partner.
6.1 Unless otherwise agreed in writing or by electronic means, Relocation Partner shall provide its mediation services on a No Cure No Pay basis.
6.2 The agreed mediation fee shall become fully due and payable as soon as the Client has accepted a residential property offered through Relocation Partner and the Landlord has accepted the Client as the prospective tenant. From that moment onwards, Relocation Partner shall be deemed to have fully and successfully completed the Mediation Assignment.
6.3 Unless otherwise agreed in writing or by electronic means, the mediation fee shall be equal to one month’s rent, plus the applicable Value Added Tax (VAT).
6.4 If, after the mutual acceptance referred to in Article 6.2, the Client withdraws from the rental process, refuses to sign the Tenancy Agreement, fails to cooperate with the completion of the rental process, or otherwise prevents the Tenancy Agreement from being concluded or performed, the full mediation fee shall remain due and payable without reduction.

8.2 If the Mediation Assignment is withdrawn before the mutual acceptance referred to in Article 6.2 has taken place, no mediation fee shall be payable by the Client.
8.3 Once the mutual acceptance referred to in Article 6.2 has taken place, the Mediation Assignment shall be deemed fully completed and the full mediation fee shall become due in accordance with Article 6.
8.4 The Client shall refrain from any action intended to circumvent Relocation Partner’s services or to avoid payment of the agreed mediation fee.
9.1 Relocation Partner acts solely as an independent intermediary and shall not be a party to the Tenancy Agreement concluded between the Landlord and the Client.
9.2 The decision whether or not to rent a property to the Client rests exclusively with the Landlord.
9.3 Relocation Partner cannot guarantee that the Client will be selected for a property or that any property offered will remain available.
9.4 The Client remains solely responsible for carefully reviewing the Tenancy Agreement and all related terms and conditions before signing it.
9.5 Any dispute arising from the Tenancy Agreement, its performance or the condition of the rented property shall be resolved exclusively between the Landlord and the tenant. Relocation Partner shall not be liable for such disputes.

10.2 The Client shall pay the invoice in full within one (1) calendar day after the invoice date and, in any event, before signing the Tenancy Agreement, unless Relocation Partner has confirmed otherwise in writing or by electronic means.
10.3 Payment shall be made without deduction, set-off or suspension, to the extent permitted by applicable law.
10.4 If the Client fails to pay the mediation fee on time, Relocation Partner shall be entitled to suspend any further services, including assistance with the execution of the Tenancy Agreement and the key handover, until full payment has been received.
10.5 If the Client fails to fulfil their payment obligations on time, the Client shall automatically be in default without any prior notice of default being required.
10.6 From the due date onwards, the Client shall owe the statutory interest as well as all reasonable extrajudicial collection costs and any other reasonable costs incurred by Relocation Partner in collecting the outstanding amount, to the extent permitted by applicable law.
11.1 Relocation Partner shall perform the Mediation Assignment with due care, professional skill and diligence. The services provided by Relocation Partner constitute an obligation to use best efforts and not an obligation to achieve a specific result, unless expressly agreed otherwise in writing or by electronic means.
11.2 Relocation Partner shall not be liable for decisions made by Landlords, property managers or other third parties, including, but not limited to, the rejection of a rental application, the withdrawal of a property offer, changes in the availability of residential accommodation or the failure to conclude a Tenancy Agreement.
11.3 Relocation Partner shall not be liable for the accuracy, completeness or timeliness of information provided by Landlords, property managers or other third parties, nor for the condition, quality, safety, defects or characteristics of any residential property offered.
11.4 Relocation Partner shall not be liable for any loss or damage arising from incorrect, incomplete, forged or misleading information or documentation provided by the Client.

11.6 If, notwithstanding the provisions of this Article, Relocation Partner is held liable for any direct loss or damage, such liability shall be limited to the amount paid by Relocation Partner’s professional liability insurer in the relevant case. If no payment is made under such insurance, Relocation Partner’s liability shall be limited to a maximum of the mediation fee paid by the Client.
11.7 Any claim for compensation shall lapse unless the Client notifies Relocation Partner in writing or by electronic means within twelve (12) months after the damage was discovered, or could reasonably have been discovered.
12.1 Relocation Partner shall not be obliged to fulfil any obligation if prevented from doing so by an event of Force Majeure.
12.2 Force Majeure includes, but is not limited to, failures of internet or telecommunications services, computer system failures, cyber incidents, fire, illness, pandemics, government measures, strikes, war, terrorism, natural disasters and any other circumstance beyond the reasonable control of Relocation Partner.
12.3 During a Force Majeure event, the obligations of Relocation Partner shall be suspended.
12.4 If the Force Majeure event continues for more than sixty (60) days, either party shall be entitled to terminate the agreement in writing or by electronic means without any obligation to compensate the other party.
13.1 Relocation Partner processes personal data in accordance with the General Data Protection Regulation (GDPR) and all other applicable privacy legislation.
13.2 Personal data shall only be processed to the extent necessary for the execution of the Mediation Assignment, communication with Landlords, property managers and other relevant parties, and compliance with applicable legal obligations.
13.3 Relocation Partner shall treat all information provided by the Client as confidential unless disclosure is required for the performance of the agreement or by applicable law.
13.4 The Privacy Statement of Relocation Partner shall also apply to the processing of personal data.
14.1 Any complaint relating to the services provided by Relocation Partner shall be submitted in writing or by electronic means as soon as reasonably possible and no later than fourteen (14) days after the Client became aware, or could reasonably have become aware, of the matter giving rise to the complaint.
14.2 The submission of a complaint shall not suspend or postpone the Client’s payment obligations.
14.3 Relocation Partner shall handle all complaints with due care and shall make reasonable efforts to resolve them within a reasonable period of time.
15.1 All quotations, Mediation Assignments, agreements and legal relationships between Relocation Partner and the Client shall be exclusively governed by the laws of the Netherlands.
15.2 Any dispute arising out of or in connection with the agreement shall, to the extent permitted by applicable law, be submitted to the competent court in the District of North Holland.
15.3 If any provision of these General Terms and Conditions is held to be invalid, void or unenforceable, the remaining provisions shall remain in full force and effect. The parties shall replace the invalid or unenforceable provision with a legally valid provision that most closely reflects the purpose and intent of the original provision.
16.1 All property listings, Landlord or property manager contact details, advice, documents, forms and any other information provided by Relocation Partner are supplied exclusively for the purpose of performing the Mediation Assignment.
16.2 The Client shall not use any information, property listings, contact details or other business information provided by Relocation Partner for any purpose other than the execution of the Mediation Assignment.
16.3 Neither the Client nor any third party acting on behalf of or through the Client shall, during the term of the Mediation Assignment or within twelve (12) months after its termination, enter into a Tenancy Agreement directly or indirectly with a Landlord or property manager introduced by Relocation Partner for the purpose of avoiding payment of the agreed mediation fee, whether in whole or in part.
16.4 If the Client acts in breach of Article 16.3, the full agreed mediation fee shall become immediately due and payable, without prejudice to Relocation Partner’s right to claim compensation for any additional damages exceeding the amount of the mediation fee.
16.5 The provisions of this Article shall survive the termination of the agreement.
17.1 Relocation Partner shall be entitled to terminate the Mediation Assignment with immediate effect, in whole or in part, or to suspend its services if the Client provides incorrect, incomplete, forged, misleading or fraudulent information or documentation, or if there is a reasonable suspicion that this has occurred.
17.2 Relocation Partner shall also be entitled to terminate the Mediation Assignment with immediate effect if the Client behaves in an aggressive, threatening, intimidating, discriminatory or otherwise unacceptable manner towards employees of Relocation Partner, Landlords, property managers or any other person involved in the execution of the Mediation Assignment.

18.1 Written communication shall include communication by e-mail, WhatsApp, electronic forms, digital signatures and any other generally accepted electronic means of communication.
18.2 The records and administration of Relocation Partner, including e-mails, WhatsApp messages, electronic forms, electronic confirmations and other digital communications, shall constitute evidence of the agreements and legal acts between the parties, unless the Client provides evidence to the contrary.
19.1 If any provision of the Mediation Assignment differs from these General Terms and Conditions, the provisions of the Mediation Assignment shall prevail.
19.2 If any provision of these General Terms and Conditions conflicts with mandatory provisions of Dutch law, such mandatory provisions shall prevail, while the remaining provisions shall remain in full force and effect.
20.1 If these General Terms and Conditions are also made available in another language, the Dutch version shall prevail in the event of any difference in interpretation or meaning.
